Terms & Conditions of Trading

1.1
“Buyer” means the person, club, organisation, or company purchasing the Goods from the Seller.

1.2
“Goods” means all products supplied by the Seller, including any instalments or components of those products.

1.3
“Order” means the Buyer’s acceptance of the Seller’s quotation, email order, website order, 
catalogue order, or any other order submitted and accepted by the Seller.

1.4
“Quotation” means any written quotation supplied by the Seller detailing the proposed pricing and specification of Goods.

1.5
“Seller” means C.R. Walter (Coventry) Limited trading as Scorpion Sports, registered at:
19 Binns Close, Coventry, West Midlands CV4 9TB

1.6
“Terms” means these standard Terms & Conditions of Sale, including any additional terms agreed in writing between the Buyer and Seller.

1.7
These Terms govern all sales of Goods supplied by the Seller to the Buyer and form the entire agreement between both parties.

Prices & Payment

2.1
For orders placed via the Seller’s website, the price payable shall be the price displayed at the time the order is accepted.

2.2
Orders may also be placed following a verbal or written quotation issued by the Seller.

2.3
Quotations remain valid for 14 days from the date issued unless otherwise stated in writing.

2.4
The Seller reserves the right to amend pricing prior to dispatch where increases in costs arise due to circumstances beyond the Seller’s reasonable control.

2.5
Unless otherwise agreed in writing, all prices are exclusive of carriage charges and inclusive of applicable VAT.

2.6
Unless credit terms have been agreed in writing, full payment must be received before production or dispatch of Goods.

2.7
Where the Buyer holds an approved credit account, payment must be made within 30 days from the invoice date. Time for payment shall be of the essence. Failure to pay within the agreed terms may result in suspension or withdrawal of credit facilities.

Delivery & Title

3.1
Delivery shall be made to the address specified by the Buyer or collected from the Seller’s 
premises where agreed. A signature confirming receipt will be required. Goods collected must be checked by the buyer before leaving the premises.

3.2
Any delivery dates provided are estimates only. The Seller shall not be liable for delays caused by circumstances beyond its reasonable control.

3.3
If the Buyer fails to accept delivery, the Seller reserves the right to charge for a second delivery charge and any additional delivery costs incurred.

3.4
Risk in the Goods passes to the Buyer:
a) Upon delivery to the Buyer’s premises; or
b) Upon notification that the goods are ready for collection.

3.5
Ownership of the Goods shall not pass to the Buyer until the Seller has received payment in full for all Goods supplied, including carriage and associated charges.

3.6
Until ownership passes, the Seller reserves the right to repossess Goods if payment terms are not met.

Availability & Custom Orders

4.1
The Seller will endeavour to maintain sufficient stock levels, however, where stock is unavailable, the Seller will offer a substitute product, a refund, or, if the Buyer is happy to wait, their order will be placed on ‘Back order’ to follow once stock has been replenished.

4.2
Manufactured bespoke products are subject to a recognised trade tolerance of +/-10%, unless.

Cancellation & Returns

5.1
Orders for plain stock items may be cancelled within 48hrs of the date ordered. Cancellation of branded items needs to be made within 24hrs of the date ordered. Once logos have been applied, the items can not be refunded or exchanged for alternative products or sizes.

5.2
Returned Goods must be sent back at the Buyer’s expense unless the Goods are faulty, incorrect, or supplied in error.

5.3
Returned Goods must be securely packaged and returned in a resaleable condition. The Seller reserves the right to charge for any damage caused during return transit.

5.4
Branded or customised garments are non-returnable unless faulty or incorrectly supplied. Faulty items need to be reported within 7 days. The Seller might request that the goods be collected for further inspection before further action is taken.

Liability & Warranty

6.1
Any claims relating to defects, shortages, or incorrect Goods must be reported within 24hrs of delivery or discovery.

6.2
Where a valid claim is accepted, the Seller may repair, replace, or refund the Goods at its 
discretion.

6.3
The Seller shall not be liable for defects arising from:
a) Buyer-supplied artwork, specifications, or instructions.
b) Fair wear and tear.
c) Misuse, negligence, improper washing, or accidental damage.
d) Unauthorised alterations or repairs.
e) Failure to follow garment care instructions.

6.5
Warranty claims will not be accepted where invoices remain unpaid.

6.6
This warranty applies solely to the original Buyer and is non-transferable.

6.7
Nothing within these Terms excludes statutory consumer rights or liability for death, personal injury, or fraudulent misrepresentation caused by negligence.

Termination

The Seller reserves the right to suspend supply, cancel orders, or terminate agreements immediately where the Buyer breaches these Terms or fails to meet payment obligations.
All outstanding sums shall become immediately due and payable upon termination.

Force Majeure
The Seller shall not be liable for delays or failures to perform obligations arising from events beyond reasonable control, including but not limited to industrial disputes, shipping delays, acts of God, war, natural disasters, or supplier shortages.

Artwork & Design

7.1
All garment patterns, designs, artwork, and specifications remain the sole intellectual property of the Seller. Any unauthorised reproduction, copying, distribution, or transfer of these designs or patterns to another supplier, manufacturer, person, or company is strictly prohibited. The Seller reserves the right to take legal action against any individual, organisation, or third party found to be using, reproducing, or distributing its proprietary designs, patterns, or intellectual property without prior written consent.

7.2
All artwork must be supplied in a usable, high-resolution file format. Any artwork creation, 
amendments, logo re-drawing, vector conversion, or design work carried out by the Seller will be chargeable, subject to the time and work required to complete the requested alterations.

7.3
It is the Buyer’s responsibility to obtain permission and authorisation for the use of any 
trademarked logos, copyrighted artwork, or protected designs supplied to the Seller for 
reproduction. The Seller reserves the right to refuse the use, production, or reproduction of any logos, artwork, or designs that are considered inappropriate, offensive, unlawful, or deemed to infringe any trademark, copyright, or intellectual property rights.

General
If any provision within these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
